By connecting your QuickBooks Online account to Sentri, you agree to these Terms of Service ("Terms"). If you do not agree, do not use Sentri. These Terms constitute a legally binding agreement between you ("User") and 15446 LLC ("Company," "we," "us," "our"), a New York limited liability company.
Sentri is a books health monitoring application that connects to QuickBooks Online via the Intuit API and displays reconciliation health metrics for your QuickBooks accounts. Sentri is designed to assist bookkeepers, accountants, and business owners in identifying potential issues in their books.
Sentri requires an active QuickBooks Online subscription to function. Sentri is an independent application and is not affiliated with, endorsed by, or sponsored by Intuit Inc. Your use of QuickBooks Online is governed by Intuit's own terms of service and privacy policy.
Subject to these Terms, 15446 LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use Sentri solely for your internal business purposes.

Your use of Sentri is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using Sentri, you consent to the data practices described in the Privacy Policy.
SENTRI IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. 15446 LLC DOES NOT WARRANT THAT SENTRI WILL BE ERROR-FREE, UNINTERRUPTED, ACCURATE, OR FREE OF SECURITY VULNERABILITIES. SENTRI IS A MONITORING AND INFORMATIONAL TOOL AND SHOULD NOT BE RELIED UPON AS A SUBSTITUTE FOR PROFESSIONAL ACCOUNTING, FINANCIAL, OR LEGAL ADVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 15446 LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE SENTRI, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless 15446 LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of Sentri or your violation of these Terms.
We may suspend or terminate your access to Sentri at any time, with or without cause, and with or without notice. You may terminate your use of Sentri at any time by disconnecting your QuickBooks account. Upon termination, your session data is deleted and our access to your QuickBooks data is revoked.
We may update these Terms from time to time. Material changes will be reflected by an updated effective date above. Your continued use of Sentri after changes are posted constitutes your acceptance of the revised Terms.
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of Sentri shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.
